1. Your Account
If you use the website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorised manner.
Please ensure that the details you provide us with are correct and complete and inform us immediately of any changes to the information that you provided when registering. You can access and update much of the information you provided us with in the 'My Account' area of the website.
Soil Systems reserves the right to refuse access to the website, terminate accounts, remove or edit content, or cancel orders at our discretion. If we cancel an order, it will be without charge to you.
2. Access to soilsystems.co.uk
We will do our utmost to ensure that availability of the website will be uninterrupted and that transmissions will be error-free. However, due to the nature of the internet, this cannot be guaranteed. Also, your access to the website may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services. We will attempt to limit the frequency and duration of any such suspension or restriction.
3. Delivery and Claims
The date of delivery specified by Soil Systems is an estimate only. Time for delivery shall not be of the essence of the contract and Soil Systems shall not be liable for any loss, costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of goods.
No liability is accepted for any claims for short delivery or damage (all damaged Goods must be retained for inspection by Soil Systems until otherwise advised) unless notified in writing to Soil Systems within 3 (three) clear days of delivery and in the event of wet damage the delivery documents must be endorsed accordingly. If the complaint is deemed valid by tSoil Systems then Soil Systems will make arrangements to either make good the shortfall in Goods supplied or replace the damaged Goods within a period of 21 days from the date notification is received. If however the Customer does not give Soil Systems notice in writing of short delivery or damage within the stated 3 (three) days, then the Customer shall be deemed to have accepted the Goods as of merchantable quality, fit for the purpose for which they were sold and in all respects in accordance with the Contract.
All risk in the goods shall pass to the Customer upon delivery.
4. Consequential Loss
Soil Systems shall not in any event be liable to the Customer for any indirect or consequential loss or damage.
5. Warranties
Without prejudice to the generality of our Terms and Conditions of Sale, subject to which any Order is undertaken, Soil Systems cannot accept any liability whatsoever in respect of the use to which the goods, subject to this document, are put. The Customer and any user should accordingly take such steps to satisfy themselves of the suitability of the goods. They should not rely on any representations whether written or oral made by Soil Systems, its agents or employees.
6. Force Majeure
Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, the act or omission of government, highway authorities or any telecommunications carrier, operator or administration or other competent authority, or the delay or failure in manufacture, production, or supply by third parties of equipment or services, and the party shall be entitled to a reasonable extensions of its obligations after notifying the other party of the nature and extent of such events.
7. Retention of Title
Title in the goods shall not pass to the Customer until Soil Systems has been paid in full for the goods.
8. Governing Law and Jurisdiction
These terms and Conditions shall be governed and construed in accordance with the law of England and Wales and the parties hereby submit to the exclusive jurisdiction of the English Courts.
